MEASURE A – GENERAL OBLIGATION BOND
APPROVED BY THE VOTERS ON MARCH 5, 2002


Proposition 39 requires the establishment of a Citizens’ Oversight Committee and specifies the purpose, minimum membership, and term of the committee.
A. Purpose of the Committee:
The purpose of the committee shall be to inform the public at least annually in a written report concerning the expenditure of the bond proceeds. In carrying out this purpose, the committee shall:
1. Actively review and report on the proper expenditure of taxpayers' money for school construction.
 2. Advise the public as to whether the community college district is in compliance with the requirements of paragraph (3) of subdivision (b) of Section 1 of Article XIIIA of the California Constitution, to ensure that:
a) bond revenues are expended only for the construction, reconstruction, rehabilitation, or replacement of school facilities, including furnishing and equipping of school facilities, or the acquisition or lease of real property for school facilities;
b) no funds are used for any teacher or administrative salaries or other school operating expenses
B. Activities of the Committee:
 In furtherance of its purpose, the citizens' oversight committee may engage in any of the following activities: 
1. receiving and reviewing copies of the annual, independent performance audit required by subparagraph (C) of paragraph (3) of subdivision (b) of Section 1 of Article XIIIA of the California Constitution. 
2. receiving and reviewing copies of the annual, independent financial audit required by subparagraph (C) of paragraph (3) of subdivision (b) of Section 1 of Article XIIIA of the California Constitution. 
3. Inspecting college facilities and grounds to ensure that bond revenues are expended in compliance with the requirements  
4. receiving and reviewing copies of any deferred maintenance proposals or plans developed by the community college district, including any reports required by Section 17584.1. 
5. reviewing efforts by the community college district to maximize bond revenues by implementing cost-saving measures, including, but not limited to, all of the following: 
a) Mechanisms designed to reduce the costs of professional fees 
b) Mechanisms designed to reduce the costs of site preparation. 
c) Recommendations regarding the joint use of core facilities.
d) Mechanisms designed to reduce costs by incorporating efficiencies in school site design. 
e) Recommendations regarding the use of cost-effective and efficient reusable facility plans. 
C. Membership of the Committee
 The citizens' oversight committee shall consist of at least seven members to serve for a term of two years without compensation and for no more than two consecutive terms. While consisting of at least seven members, the citizens' oversight committee shall be comprised, as follows: 
1. One member shall be active in a business organization representing the business community located within the district. 
2. One member shall be active in a senior citizens' organization. 
3. One member shall be active in a bona fide taxpayers' organization. 
4. One member shall be a student who is both currently enrolled in the district and active in a community college group, such as student government. The community college student member may, at the discretion of the board, serve up to six months after his or her graduation.
5. One member shall be active in the support and organization of the community college, such as a member of an advisory council or foundation.
6. No employee or official of the district shall be appointed to the citizens' oversight committee. No vendor, contractor, or consultant of the district shall be appointed to the citizens' oversight committee.

Members of the citizens' oversight committee shall, pursuant to Sections 35233 and 72533, abide by the prohibitions contained in Article 4 (commencing with Section 1090) and Article 4.7 (commencing with Section 1125) of Division 4 of Title 1 of the Government Code.

D. Term of Office

1. Size of Committee/Length of Term: The citizens' oversight committee shall consist of at least seven members to serve for a term of two years without compensation and for no more than two consecutive terms.

2. Removal from Membership: Members of the committee serve at the pleasure of the Board and may be removed at any time within the Board’s sole discretion.

3. Process for Replacement: If mid-term vacancies occur, the process for replacement shall ideally follow the same process as for regular appointments. The Superintendent/President and Board may adjust the processes as may be reasonably necessary for the particular circumstances.

E. Authority and Role of the Citizens Oversight Committee

1. Role - The role of the Citizens’ Oversight Committee is to inform the
public concerning the District’s expenditure of revenues received from the sale of bonds authorized by the voters on March 5, 2002. In particular, the Committee will provide oversight ensuring

(1) bond revenues are expended only for the construction, reconstruction, rehabilitation, or replacement of college facilities, including the furnishing and equipping of college facilities, or the acquisition or lease of real property for college facilities; and
2) no bond revenues are expended for any teacher or administrative salaries or other college operating expenses.

2. To carry out its role, the Citizens’ Oversight Committee (COC) may:
(1) receive and review copies of the annual independent performance audit conducted to ensure that the bond revenue has been expended only on the specific projects listed in the bond proposition;
(2) receive and review copies of the annual independent financial audit of the bond revenue;
(3) inspect college facilities and grounds to ensure that the bond revenue is expended in compliance with the requirements of paragraph (3) of subdivision (b) of Section 1 of Article XIIIA of the California Constitution;
(4) receive and review copies of deferred maintenance proposals or plans developed by the District; and
(5) review efforts by the District to maximize bond revenues by implementing various cost saving measures.

3. Legal capacity of committee
(1) The COC is the citizens’ advisory committee established pursuant to Education Code Sections 15278, 15280, and 15282.
(2) The COC does not have an independent legal capacity from the Shasta-Tehama-Trinity Joint Community College District.

4 . Information provided to committee members
(1) Information provided by staff to one member of the COC shall be provided to all members of the COC, in accordance with the directions of the College Superintendent/President.

5. Authority of individual committee members
(1) The Chair of the COC shall have the authority to direct staff as necessary to comply with public meeting laws.
(2) Except as expressly provided in these bylaws or by a majority vote of the applicable committee, individual committee members shall not have the authority to direct staff unless the applicable committee has voted express authority to do so.
(3) Each individual committee member retains the right to address the Board of Trustees, either on behalf of his or her respective committee, or as an individual.

6. Selection of Chair
(1) The initial chair for the COC shall be designated by the Superintendent/President,
(2) Thereafter, the chair for the COC will be selected annually at the first meeting held on or after July 1, or as vacancies may occur. The chair shall serve at the pleasure of the applicable committee.

F. Procedures

1. District Staffing to Committee
(1) Reasonable staffing shall be provided to the COC without charge to bond funds.
(2) The management-level staff person for the COC will report to the Superintendent/President.

(3) Staffing levels are within the discretion of the Superintendent/President but the COC may make recommendations regarding their staffing needs.

2. Legal Counsel - The Chair of the COC may seek legal counsel as necessary from the Bond General Counsel, who will provide advice directly or through the use of additional counsel as may be necessary. Since the COC does not have a separate legal capacity from the District, the committee may not obtain other legal counsel without permission from the General Counsel.

3. Defense and indemnity - The District has a duty to defend and indemnify volunteers acting within the course and scope of their volunteer duties. In the event of litigation naming the COC, or the individual members, the Board of Trustees shall provide counsel for the COC and shall promptly determine whether to provide counsel for individual members.

G. Bylaws

1. Bylaws for each group - These bylaws are established for the COC by the Governing Board, and may be modified by the Governing Board.

2. Amendments - Amendments to these bylaws must be approved by the Superintendent/President.

3. Conduct of meetings
(1) Quorum
1. A quorum of the COC shall consist of any five members of the COC.
2. Public meetings
1. The COC is subject to the Ralph M. Brown Act. In light of this re-quirement, the committee will adopt schedules of meetings for at least six-month periods.
2. Notices and agendas regarding the COC shall be posted in the same location as the location where notices and agendas regarding the Board of Trustees meetings.
3. Each member of the committee will be given a current copy of the Ralph M. Brown Act.

4. Public Records -Minutes of the proceedings of COC and all documents received and reports issued shall be a matter of public record and be made available on an Internet website maintained by the District.

5. Except as otherwise provided by these bylaws or applicable law, meetings shall be conducted in accordance with Robert’s Rules of Order, Newly Revised.
